Terms of Service
These terms and conditions, and any additional terms presented to you when you use the Website and/or the Services (the “Terms”), along with our Privacy Notice which is incorporated into the present Terms, apply to the Content, Services and all functionalities offered on or through the website www.peopleonset.com (the “Website”), and constitute a legally binding agreement between [A.C.A. GEORGIOU BROS LIMITED] ([PINDAROU 14, BLOCK A – FLAT103], [2332], [AKATAMIA NICOSIA, CYPRUS], [ +35796014151]), a [type of company] (hereinafter “People on Set”, “we,” “our” or “us”) and the user of the Website and/or the Services (“User”/”Users” “you”, “your”).
By accessing, entering, using, viewing, visiting and/or registering on the Website, and/or by requesting, using or obtaining the Services provided by it, you accept and agree to be bound by the present Terms. These Terms set out your rights, obligations, and restrictions regarding your use of our Website and Services. If you do not agree with the present Terms, please abstain from using the Website and/or Services. 

About
People on Set provides a variety of content, hosting, communication and networking services, to enable Talents and Industry Professionals engaging in the entertainment industry (as defined below) to connect with agents, managers, casting directors, and other professionals providing professional services in motion picture, theatrical, radio, television and other entertainment enterprises (“Services”) that may be offered on our Website.

People on Set provides a Talent Listing Service.  It is not a talent agency, nor does it offer or attempt to obtain auditions or employment for Users.  People on Set provides you with listing information only.

Users
“Users” include:
visitors of the Website who access and browse the Services but do not register for an account (“Unregistered Users”); and
users of the Website who have created a User Account and have received confirmation that registration has been completed (“Registered Users”).  
Registered Users include (a) “Registered Free Package Users”, (b) “Registered Paid Package Users”, and (c) “Registered Businesses”.
Eligibility - B2B Agreement
A Registered User can be either (a) an individual, at least 18 years old and able to enter into contracts (and, as applicable, the lawful holder of parental responsibility), who act in their commercial or professional capacity and obtain the Services for their own business/ professional capacity and/or for a third party (e.g., a client of said individual or child); or (b) a legal entity obtaining the Services for its own business and/or for a third party (e.g., a client of said legal entity).
Registering as a Parent Registered User
The holder of parental responsibility over a child can register as “Parent Registered User”. In such case and for the purposes of the present Terms, the Parent Registered User is deemed to be a User. The Parent Registered User is responsible for using and monitoring the User Account on behalf of the child, and undertakes to ensure the child’s compliance with the Terms, being responsible for any noncompliance by the child.  
Industry Professionals
The Website and the Services provided through it are addressed to Industry Professionals.  An “Industry Professional” is:
An actor, model, dancer, voice-over talent, musician, a musical or performance group or other artist (“Talent”);
A director;
A production company;
A filmmaker;
Other entertainment industry professionals; and/or
A professional Talent representative (e.g., talent agency or management company), or an employee or authorized representative (“Talent Representative”).
Talent Representative
Each Talent Representative represents and warrants that it is legally authorized to represent and use all Services on behalf of the Talent in accordance with these Terms. A Talent Representative must immediately stop using the Services on behalf of the Talent when the Talent revokes its authorization in this regard. People on Set are not obliged, but reserve the right at any time, to require evidence of a Talent Representative’s authority to act on behalf of a Talent in connection with the Services. Each Talent Representative also represents and warrants that all personal information that they provide through the Website is collected by such Talent Representative or on their behalf, and is disclosed to us in full compliance with the applicable data protection legislation.
B2B Agreement
Both People on Set and the Registered User acknowledge that the present Terms are intended to be, and actually are, a Business to Business (B2B) agreement.

Services
Functionalities and services offered by People on Set via the Website to Users include the following:
Unregistered Users can view job openings (in some detail) and/or selected Industry Professionals and participating businesses for promotional purposes (limited data), etc.;
Registered Free Package Users can view all job openings (all details) and Industry Professionals (all details, apart from contact details), filter and browse all Industry Professionals and job openings based on different criteria, create an Industry Professional profile (level medium), receive notifications for new job openings based on their preferences, apply for job openings, send and receive limited direct messages with all Industry Professionals and Registered Businesses in the context of a job application, etc.;
Registered Paid Package Users have access to all functionalities offered to Registered Free Package Users, while they can also create an Industry Professional profile (level large);
Registered Businesses can view all Industry Professionals (all details, apart from contact details), send and receive unlimited direct messages with all Industry Professionals, submit unlimited job openings, invite an Industry Professional to apply to a specific job opening, get reports, view Industry Professionals’ details (including contacts details) for all applied to job openings, as well as filter and browse all Industry Professionals based on different criteria.

Subscriptions - Payment
Registered Paid Package Users and Registered Businesses are required to buy one of the available subscription plans in order to have access to the relevant Services. All subscriptions are automatically renewed (i.e., subscriptions continue on a continuous basis until cancelled, as described below) and you agree that your payment method will be charged by People on Set periodically according to your subscription plan (yearly, 6-months, or monthly). By subscribing to a subscription plan, you authorize People on Set to charge the applicable recurring subscription fees to your selected payment method (e.g., credit or debit card).
Subscription fees are charged in advance of the applicable subscription period. When you initially subscribe to a subscription plan, your payment method will be charged immediately for the initial term of the subscription at the indicated fee for the applicable subscription period; it is clarified that you will be charged in advance for the renewal term of the subscription service on the last day of the corresponding monthly, semi-annual or annual anniversary of the activation date of subscription.
Cancelation of Subscription – No Refunds
You can terminate a subscription at any time by emailing People on Set at [email protected]. Once paid, subscription fees are unconditionally non-refundable. If you terminate your subscription plan before the end of your subscription period, or if People on Set terminates your subscription and this agreement due to a violation of the present Terms on your behalf, you will not receive a refund or any other compensation for the unused portion of your subscription period. If you terminate your subscription plan before the end of your subscription period, you will continue to enjoy the benefits of your subscription plan, until the end of the current subscription period, which will not be renewed.
Changes to Subscription Fees
Subscription fees are subject to change in our sole discretion. Users having active subscription plans will be notified by email in advance of any change to subscription fees and will be requested to accept new subscription fees, which will apply from the following subscription period and on; if the User does not accept new fees, subscription plan will be terminated at the end of the current subscription period.

Content
The Website contains content and material, e.g., information, data, text, images, graphics, photographs, audio, video, audiovisual material, tags, listings, job offerings, profiles, notices, databases, and/or other material (“Content”) that is accessible by, and made available to Users, via the Website. Such Content can include Content owned or licensed by People on Set, as well as Content owned or licensed by Users (“User Content”).
You acknowledge, consent and agree that People on Set may, at its sole discretion and without prior notice to you, review, censor, edit, delete, prevent/ limit access to, any Content (including User Consent), in whole or in part, for any reason whatsoever, including but not limited to Content that People on Set, at its sole discretion, deems illegal (e.g., obscene, defamatory, libelous, in violation of data protection rights or in violation of intellectual/ industrial property rights) or otherwise offensive or inappropriate, or in violation of the present Terms.

User Account
Setting up a User Account is required for the use of certain parts and functionalities of the Website, as well as in order to use and obtain certain Services.
In order to create a User Account and obtain/use certain Services, you must complete the registration process (sign up) and accept the present Terms. User agrees not to use any false, inaccurate, or misleading information when signing up and providing User Content.
If you act as a Talent Representative and sign up on behalf of a third party (e.g., Production Company) or your employer, you represent and warrant that you have the required legal capacity and authority to accept the Terms and enter into the agreement on the third party’s or employer’s behalf.
People on Set does not undertake and does not have any obligation to verify the identity of any individual creating a User Account and/or subscribing to the Services; therefore, People on Set disclaims all and any relevant liability for identity theft or false or inaccurate information in User profiles.
Passwords
Registered Users are responsible for keeping their account name and password confidential. Registered Users are also responsible for the User Account that they have access to, as well as for any activity occurring in or using such User Account, whether they have authorized such activity or not. Registered Users must promptly notify People on Set of any unauthorized access or use of their User Account at [email protected]. We shall not be responsible for any damages or losses due to stolen or hacked passwords that are caused by or result from Registered Users’ negligence.
Termination
Any Registered User has the right to request the closure of the User Account by sending a termination request at [email protected]. Termination will be valid immediately upon receipt of the e-mail by People on Set. Per above clause “Cancelation of subscription; no refunds”, in such case Registered User is entitled to no refund.

Intellectual and Industrial Property Rights
All Users acknowledge that: (i) by using the Services they may obtain access to pictures, digital images, graphics, music, video, audio, text, computer code and other creative output (“Content”); and (ii) this Content includes content owned and/or licensed by People on Set, as well as User Content. In this regard, all Users are obliged to respect and not to infringe on intellectual and industrial property rights, including but not limited to copyrights and trademarks of People on Set, other Users and/or other third parties.
Rights of People on Set
All rights, titles and interests in and to the Website and Services is the exclusive property of People on Set and our licensors.
Third Party Rights
All third party intellectual and industrial property rights (including but not limited to copyrights and trademarks) on certain Content belong to the respective third parties.
User Content
By uploading and/or submitting User Content, you represent, acknowledge and warrant that:
you have the right to do so and/or that you have obtained any and all required rights and licenses and/or consents by third party right holder(s), including intellectual and industrial property rights;
that User Content and use of User Content on the Website is not in violation of any applicable laws or contractual restrictions or other third party rights, including, inter alia, intellectual property rights (copyright), industrial property rights (e.g., trademarks, patents), rights of privacy or publicity; and
that no other party has any right, title, claim, or interest in the User Content that would be infringed upon as a result of uploading/ submitting the User Content on the Website and/or using the User Content on the Website.
If you upload or submit User Content to the Website on behalf of an Industry Professional or company (e.g., Production Company, Casting Directors, Sole Entrepreneurs – Project Creators, Advertising Companies), you represent that you have the right to do so and that you have obtained any required rights, powers and consents from said party.
People on Set does not claim ownership of the User Content you post, upload, input or submit to any Services.  However, when uploading and/or submitting User Content, you grant to People on Set, without any compensation to you, a royalty-free, non-exclusive, worldwide, perpetual, unrestricted, irrevocable, and fully transferable, assignable and sub-licensable license to use, transmit, host, reproduce, copy, publish, publicly display, publicly perform, modify, disclose, reformat, edit, delete, create derivative works of, translate and distribute any User Content, in whole or in part, or to incorporate it in other works in any form, media, software or technology of any kind now known or hereafter developed or discovered in connection with the Services and for any purposes whatsoever.
You agree that People on Set may publish or otherwise disclose on the Website your name in connection with your User Content.
Limited License to Use the Website and Services
Subject to your compliance with these Terms, People on Set grants you a limited, personal, non-exclusive, non-commercial, revocable, non-assignable, non-sublicensable and non-transferable license to access, view and listen to the Content solely for your personal use and to the extent required to use the Services.  People on Set reserves all rights not expressly granted in and to the Content, Website and the Services.
In Case of Infringement of Rights
If you believe that any Content or, generally, any material or element accessible on or from the Website infringes your intellectual and/or industrial property rights, you may notify this to us by submitting written notification at [email protected].
Code of Conduct
Users’ Code of Conduct
By agreeing to the Terms, you agree to use the Website and/or Services in a professional manner, and to comply with all applicable laws, rules, and regulations.  You agree, inter alia, not to:
use the Services and/or Users’ personal information for purposes other than in connection with utilizing the Services;
use the Services for commercial purposes other than those that are specifically approved by People on Set and/or utilize information, content or data appearing on and/or obtained through the Services to provide competitive services (including the use of People on Set trademarks or copyrighted material);
engage in or plan to engage in any illegal activity;
use the Services or any information obtained through the Services to, abuse or attempt to abuse, or otherwise harass another individual; and/or act dishonestly or unprofessionally, i.e., by posting inappropriate or inaccurate content;
misrepresent your identity, affiliation with a person or entity, or the source of any communication;
upload, post, or otherwise transmit any unsolicited or unauthorized promotional materials, including without limitation, “junk mail,” “spam,” “chain letters,” or any other form of solicitation of similar nature (including User Content);
use the Website and/or Services to share and/or communicate any inappropriate or illegal, abusive, pornographic, defamatory, harassing, offensive, threatening or malicious content or material (including User Content);
in any way upload, post, process, communicate, e-mail, transmit, display, promote, copy or “rip”, exploit, generally use or otherwise communicate to the public any Content that does not comply with applicable laws or regulations;
engage in activity that is fraudulent, false, misleading, libelous or defamatory;
introduce any infringing, obscene, libelous, or otherwise unlawful data or material into the Website and/or the Service (including User Content);
interfere with, disrupt or attempt to circumvent any restrictions on access to or availability of the Website and/or the Services, and/or gain unauthorized access to any Services, accounts, computer systems or networks owned by People on Set through hacking, cracking, distribution of counterfeit software, or any other means;
engage in activity that is harmful to People on Set, the Website and/or the Services or others (e.g., disseminating or transmitting viruses, spyware, adware, or any other malicious or invasive code or program; and/or damaging, disabling, or impairing any server of People on Set, etc.);
infringe upon the rights of others, including by creating, disseminating and/or transmitting material of any kind that infringes the copyright, trademark, patent, trade secret, publicity or other intellectual property or property rights of any person (e.g., unauthorized use of IP protected content);
engage in activity that violates the privacy or data protection rights of others;
use the Website and/or the Services provided through it for any purpose or in any manner that is unlawful or prohibited by the Terms; and/or
help others break the above rules.
Preventing and Reporting Abuse
People on Set may take any and all steps it deems necessary to stop or prevent behavior of any kind that violates the present Terms. You can report any violations of the Code of Conduct or other abuse of the Services by emailing [email protected].
Termination by People on Set
We reserve the right to restrict, suspend, or terminate, without notice, your subscription and access to the Website and/or Services for any conduct that we, in our sole discretion, believe is in violation of the present Terms and/or any applicable law and regulation, and/or is harmful to the interests of People on Set or any third party (including another User). In the event of such restriction, suspension, and/or termination, no refund or credit of any subscription or other fees will be offered.  You will continue to be liable for applicable fees for the period prior to termination, together with such other compensation and remedies which we may be entitled to.
If a User whose account has been restricted, suspended or terminated has re-registered or attempts to re-registered on our Website that User may be permanently barred from using the Website and Services.
People on Set will terminate accounts of, and permanently bar any User who falsely represents that it is an Authorized Representative, Talent Representative, director or other Industry Professional, or any User who provides information that is false or misleading.

Data Protection
Any and all information concerning you, including personal information you provide when you create a User Account and/or use the Website and Services, is processed by People on Set in its capacity as a Data Controller. Such processing is subject to our Privacy Notice, which is incorporated into these Terms by reference.

Disclaimers
Service Provider
People on Set is a service provider and it does not review, pre-screen and/or guarantee the validity, accuracy or credibility of any User Content, nor does it take any responsibility or assume any liability for any actions you may take as a result of viewing, reading or listening to User Content on the Website.  People on Set makes no representations or warranties as to the accuracy, completeness, currency, or adequacy of any User Content and, to the maximum extent permitted by applicable law, takes no responsibility and assumes no liability for any lack of the foregoing or for any errors or omissions in any User Content.  However, People on Set may, in certain circumstances, prohibit or otherwise limit the use of the Services, and reserves the right to terminate the subscription of any User, if it determines, that doing so is necessary for the enforcement of the present Terms and/or the protections of its business reputation or Users.
Jobs
Certain Users (e.g., directors, production companies, filmmakers, and/or other entertainment Industry Professionals) may offer opportunities, goods, services and other materials (the “Jobs”) to other Users (e.g., Talents and other Industry Professionals) on or via the Website. Transactions, agreements and dealings relevant to the Jobs are solely between Users. People on Set will not be responsible for any loss or damage of any sort incurred by any User as the result of any such separate transaction, agreement or dealing relevant to the Jobs.
Interruption of Services
People on Set may at any time, and in its sole discretion, interrupt availability of some or all aspects and functionalities of the Website and/or Services, or modify, replace, prevent access to, or discontinue, any Services. People on Set is not liable to you for any interruption of Services, or delay or failure to perform, and you understand that in such cases, you shall not be entitled to any refunds of subscription fees or any other remedy or compensation.
Hyperlinks to Other Websites
The Website may include hyperlinks to other websites operated by third parties and not administered by People on Set. Said websites are subject to their own legal terms and privacy policy and it is your responsibility to ensure that you have read and understood them. People on Set is not responsible for the content of those websites, does not endorse any content, products, services or other materials on or available from those websites, and makes no representations whatsoever regarding the content of the said websites.

Warranties and Limitation of Liability
The Website, the Services and the Content are provided “as is” and “as available” using a commercially reasonable level of skill and care. Except as expressly stated in the present Terms, we do not provide warranties, conditions, or undertakings of any kind in relation to the Website, Services and the Content, either express or implied; for instance, warranties of merchantability and fitness for a particular purpose are excluded from the agreement with the User. We do not guarantee or promise that, through the provided Services, a User will increase or otherwise improve its professional activity or income, and cannot guarantee that Services will meet Users’ specific needs. Users may use the Content at their own discretion. It is solely up to them to decide if and how the Content and Jobs can serve their professional objectives and activity.
To the maximum extent permitted by applicable law, in no event will we be liable for any direct and/or indirect damage (positive damage/ loss of profits) which arises from, or is related to, offering, use, inability to use, operation or failure of the Website and/or the Services and Content provided through it. People on Set is liable for any culpable or due to gross negligence breach of the Terms, excluding People on Set liability for slight negligence. All limitations of liability set out in the present Term are mutually agreed as fair and valid and have been expressly acknowledged and accepted as such by the User.
To the maximum extent permitted by applicable law, the User assumes full responsibility for any direct and/or indirect damage that results from the User’s use of the Website and/or Services, and/or User Content.  Users shall be held liable to People on Set for any direct and/or indirect damage incurred by, and/or third party claims raised against, People on Set, which are wholly or partially due or ascribed to (a) slight negligence on the part of the User (its employees or other assistants used in using the Services), and/or (b) unlawful and/or anti-contractual nature and/or use of any User Content.
Users shall compensate, defend and indemnify People on Set and its directors, officers, employees, consultants, representatives and partners from and against all liabilities, damages, losses, costs, fees (including, inter alia, legal fees) relating to any third-party allegations and/or legal proceedings to the extent that they arise out of, or relate to, (a) User Content, and/or (b) the User’s use of the Services, and/or (c) any breach of the Terms by the User.

Force Majeure
People on Set shall not be held liable for any delays or failure in performance of any part of the Website and/or the Services, from any cause that is beyond the commercially reasonable control of People on Set. This includes, but is not limited to, acts of god, pandemics, terrorist acts, riots, fires, earthquakes, strikes, power blackouts, unusually severe weather conditions, acts of hackers, acts of or third-party internet service providers. In the event of force majeure, Users may not be able to access and or use the Website and/or the Services.

Governing Law and Jurisdiction
The present Terms are governed by, and construed in accordance with the laws of Greece. People on Set and you agree that you are subject to the exclusive jurisdiction of the courts of Athens, Greece.

Severability
If any part of the Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

Non-waiver
Our failure to enforce any right or provision in the Terms will not constitute a waiver of such or any other right or provision.

Independence of the Parties
Each party (People on Set and the User) is an independent contractor and neither party shall exercise a control over the conduct of the other party’s professional activity under the Terms and this agreement. Neither party shall be responsible for any act of the other party in the conduct of such professional activity.
Nothing in the present Terms shall be deemed to create a relationship of principal and agent or employer and employee between the parties, and each party shall be solely responsible in all respects for the employment, control and conduct of any and all persons employed by it. Neither party nor any of its employees shall be or shall represent itself as authorized to bind the other party in any manner whatsoever.

Entire Agreement
The Terms constitute the entire agreement between the User and People on Set, superseding any prior agreements with respect to the same subject matter.

Changes to the Terms
We may make changes to the Terms at any time without notice; you are expected to check this page so you are aware of any changes, as they are binding on you. We will provide Registered Users advance notice of any material changes to the Terms by publishing revised Terms on the Website (www.peopleonset.com and by notifying Registered Users of the new Terms by sending an email to the Registered User’s registered email address or displaying prominent notice on the Registered Users section of the Website.
